Think of firecracker wholesalers, agri-commodity traders, woollen apparel manufacturers, or even certain festival-specific gift businesses, all of whom earn the bulk of their income in a concentrated time frame. Here’s how we break it down: 1. Mapping Seasonality with Past Data: We first look at monthly sales trends over the past 2–3 years to understand when revenue peaks and when it slumps. For instance, if 70% of turnover occurs between October–December, we ask: - Can the business sustain operations during lean months? - Do bank statements show cash flow stability post-season? - Is there over-reliance on short bursts of sales? This pattern influences both drawing power structuring and repayment capability assessment. 2. Inventory Holding & Stock Build-Up Seasonal businesses usually pile up inventory ahead of their peak months. This means longer inventory holding periods than usual. Example: A wedding-season saree wholesaler may buy stock in August–September and start selling only by November. The holding period could be 90–120 days, much higher than industry averages. We allow for these higher norms while structuring limits, sometimes also accepting temporary margin relaxation during buildup, though this differs from bank to bank based on their internal processes and policies. 3. Cash Flow-Based Assessment: Instead of relying heavily on profitability, we assess monthly cash flows: - Is there enough buffer to meet interest and instalment payments during lean months? - Do fixed expenses continue even during no-sales months? In some cases, we structure EMIs to begin after the season, or balloon repayments to align with cash inflows. This ensures repayment discipline doesn’t break. 4. Limit Structuring – Peak Season Enhancements: To avoid overfunding throughout the year, we structure: - Temporary peak season limits (e.g., Rs. 1.5 Cr from Sept to Dec, Rs. 1 Cr otherwise) - Interchangeable facilities (like WC + BG with flexibility) - Drop-line CC limits to gradually reduce exposure post-season 5. Risk Mitigation – Insurance & Infrastructure With high-value seasonal stock, we ask: - Is the inventory fully insured? - Is the storage location prone to weather/fire risk? - Are safety protocols (fire NOC, surveillance) in place? Because one warehouse incident during peak season can wipe out most of the borrower’s annual income. Final Thoughts: A standard MPBF formula doesn’t work here. Instead, we customize working capital based on business cycles, risk visibility, and repayment comfort — helping both the MSME and the bank stay aligned through high and low tides. It is of particular interest to both buyer and seller in an M&A deal because (i) it represents short-term investment in the business to fund day-to-day operation, which may or may not be recuperated by the time the transaction closes and (ii) working capital is not static, it fluctuates over time. A common adjustment in Share Purchase Agreement is the difference between Closing Working Capital and Normalized Working Capital. If Closing WC is higher than Normalized WC (i.e. the seller retains more cash in the Target than operationally required), the buyer pay the seller the difference and vice versa. Yet, there is no universal definition of Normalized WC, which leads to the default practice of taking Last-twelve-month figures by practioners. This is OK for a single-business traditional enterprise with low seasonality but will severly misrepresent WC requirement otherwise. Below are 3 examples when more tailored computation is warranted. Case 1: Multiple Business Segments A conglomerate’s industrial division required $50M WC, while its SaaS division operated with negative WC due to advance billing. A blended target would misrepresent liquidity needs, especially as the contribution of each segment evolves over time. Impact: Different segments have unique WC needs (e.g., manufacturing vs SaaS). Best Practice: - Perform segment-level WC analysis. - Normalize WC by segment and use weighted averages for deal purposes. Case 2: Unequal contribution of working capital components In service-based or asset-light businesses, inventory is negligible. A standard working capital computation encompassing only AR, AP and Inventory with equal weight would severely distort cash conversion cycle by not taking into relative importance of each component. Best Practice: - Focus on DSO and DPO as primary metrics. Incorporate DIO only to the extent of inventory's contribution to the operating cycle. - Monitor deferred revenue and prepaid expenses. Case 3: Working Capital is Highly Seasonal Seasonal business has widely different levels of WC depending on the period during the year. A K-12 school operator normally receives cash upfront for tuition fees at the beginning of the school year and gradually spends that amount on expenses in the following 9 months (a school year) and has 3 months summer holidays with little activity. Ice cream shops, holiday stores, costume shops, etc. all have peak activities during certain months in the year but cash has to be reserved to purchase inventory and maintain operation during the remainder of the year. An LTM average would not reflect the real WC need at closing. Best Practice: - Perform monthly WC analysis focusing on seasonality. - Normalize WC by taking into different factors including business model, major calendar events, etc.

A disciplined liquidity buffer framework answers 3 questions: 💫 How much liquidity is required? 💫 What type of liquidity instruments should make up the buffer and in what proportion? 💫 Under what conditions is it deployed? Below is a practical high-level framework treasury teams can apply. 1. Define Coverage Requirements Liquidity buffers should be calculated against measurable exposures. Treasury should quantify: -Debt maturities within the next 12–18 months -Forecast net cash outflows over a rolling 13-week period -Seasonal working capital swings -Contingent obligations 2. Distinguish Liquidity by Accessibility Liquidity must be segmented based on availability and timing. Treasury should classify: -Immediate Liquidity On-balance-sheet cash Cash equivalents Undrawn committed revolving credit facilities -Secondary Liquidity Short-term investments with minimal liquidation risk Intra-group funding capacity Backstop facilities Accessibility determines reliability during stress or uncertain market conditions. 3. Integrate the Buffer into Cashflow Forecasting Liquidity buffers must be embedded into the rolling cashflow forecast process. Treasury should: -Compare projected liquidity against minimum buffer thresholds weekly -Flag projected breaches at least 8–12 weeks in advance -Align forecast variance tracking with buffer adequacy If forecasting discipline is weak, buffer assumptions will be unreliable. 4. Liquidity risk is rarely caused by sudden shocks alone. It is usually the result of insufficient preparation. As holding liquidity in the wrong currency introduces basis and conversion risk.

You had a great year last year. Q4 was particularly strong. So you set aggressive financial projections for this year based on that performance. Then reality hit. That Q4 surge was seasonal, not sustainable. By August, it became clear this year would track 20% below projections. Owner compensation needed immediate adjustment to reflect actual business performance, not wishful thinking. Many businesses have natural seasonality they don't fully account for in their planning. Construction companies frontload their year before weather turns. Retail businesses live or die by holiday performance. Service companies see summer slowdowns when decision-makers take vacation. The mistake is treating exceptional periods as the new normal. One strong quarter doesn't mean permanent growth. One slow month doesn't signal business decline. Financial planning needs to account for these natural rhythms instead of extrapolating from recent performance. Track multi-year patterns, not just last quarter's results. Adjust owner compensation based on realistic annual projections, not peak period optimism. Save cash during strong periods to cover slower times instead of assuming the good times will continue indefinitely.

If you are acquiring a seasonal business, exactly when you acquire it can have a massive impact on how much working capital you need. Be really careful to analyze how much working capital you will actually need. Here is what I do 👇 It is easy to look at an acquisition on an annual (tax return) basis and see that the deal cash flows just fine over the course of the year and get too comfortable with the deal. I have been working on financial projections for several seasonal businesses lately: ➡️ Wedding venues ➡️ Lawn fertilization ➡️ Seasonal campground ➡️ School band instrument rentals In each case the annual financials looked really healthy, but their cash flow is extremely lumpy. For example, in the instrument rental business they might receive 40% of annual revenue in September and then another 40% in January at the beginning of the school semester. Then the final 20% of revenue trickles in the other 10 months of the year. If you acquire the business in February and don't account for significant working capital to be left in the business or borrowed, you would need to wait 8 months to receive any significant cash. If you are looking to buy a business that is seasonal I strongly encourage you to get monthly income statements for the last 2 years so that you can verify that seasonality of income. You should also get 2 years of monthly bank statements so that you can see the cash actually coming in just to make sure that the bank statements and the monthly P&Ls align well. The very specific timing of when the deal closes and what happens with the working capital left in the bank or not left in the bank is huge. The challenge is that you probably won't know exactly when your deal will close, so you need to make sure your offer is flexible to consider working capital left in the business based on the final closing date. There is a distinct shift in MSME borrower behaviour that emerges in the weeks following the onset of the monsoon. It does not announce itself in the data. But if you are watching the portfolio carefully, the pattern becomes hard to ignore. The first signal is repayment timing. Borrowers who have been consistently punctual through the first half of the year begin showing slight delays. Not defaults, not conventional stress indicators, just a quiet softening in the discipline that was there before. Each instance looks unremarkable in isolation. 𝐈𝐧 𝐚𝐠𝐠𝐫𝐞𝐠𝐚𝐭𝐞, 𝐢𝐭 𝐫𝐞𝐟𝐥𝐞𝐜𝐭𝐬 𝐠𝐞𝐧𝐮𝐢𝐧𝐞 𝐜𝐚𝐬𝐡 𝐟𝐥𝐨𝐰 𝐩𝐫𝐞𝐬𝐬𝐮𝐫𝐞 𝐚𝐭 𝐭𝐡𝐞 𝐠𝐫𝐨𝐮𝐧𝐝 𝐥𝐞𝐯𝐞𝐥. The second pattern is credit utilisation. MSME borrowers with access to revolving facilities tend to draw down more aggressively around the onset of the monsoon. Some of it is considered building inventory ahead of anticipated supply disruptions. But a meaningful portion is reactive, with borrowers plugging cash-flow gaps without a structured repayment plan behind the drawdown. The third pattern is the one I find most telling. Loan enquiries from agriculture-linked supply chains, construction material suppliers, and informal retail spike during this period. Not because business conditions have improved. Because liquidity is under pressure and businesses are searching for bridges to get through the season. What this consistently tells me is that monsoon onset is a structural cash flow stress event for MSMEs, not an incidental one. The seasonality is entirely predictable. The pressure it creates is entirely predictable. And yet a significant proportion of small businesses arrive at this point every year without adequate buffers or credit facilities sized for the seasonal reality. That is both a risk-management observation and a product-design opportunity. Lenders who genuinely understand this cycle and build around it, with seasonal credit lines, flexible repayment structures, and early warning frameworks, will serve their borrowers better and run cleaner books in the process.
